Welcome to Qilze . These Terms and Conditions ('Terms') govern your access to and use of our website, platform, and services provided through qilze (“we,” “our,” or “us”). Byaccessing or using the site or our services, you agree to be bound by these Terms.

1.Overview of Services

Qilze provides:

Access to skilled developers for hire on a freelance or project basis.
Full-cycle development of SaaS (Software-as-a-Service) platforms customized to client needs.
Consultation, design, development, and deployment services.

2.Eligibility

To use our services:

You must be at least 18 years old or the legal age of majority in your jurisdiction.
You must have the legal authority to enter into a binding agreement.

3.Client Obligations

As a client using Qilze, you agree to:

Provide accurate and complete information for communication, invoicing, and project specifications.
Clearly define your goals, timelines, deliverables, and expectations.
Make timely decisions and approvals to facilitate smooth project execution.
Pay invoices as per agreed-upon milestones, without undue delay.

4.Service Engagement

Service contracts or agreements will outline:

Project scope
Deliverables
Timelines
Payment schedules
Intellectual property ownership

Each engagement may include a Service Level Agreement (SLA) and/or Statement of Work (SOW).

5.Payment Terms

Payments must be made in accordance with the schedule outlined in the invoice or contract.
Accepted payment methods: Credit Card, Bank Transfer, PayPal, or other agreed-upon methods.
Late payments beyond 7 days from the due date may incur a 5% late fee and/or service suspension.
All fees are quoted exclusive of taxes. Clients are responsible for applicable VAT/GST/taxes.

6.Intellectual Property Rights

All intellectual property developed for a client (source code, designs, documentation, etc.) becomes the client's property upon full payment.
Qilze retains the right to showcase non-confidential work for portfolio or marketing purposes unless a separate NDA is signed.
Pre-existing Qilze tools or frameworks used in client projects remain Qilze's intellectual property.

7.Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information exchanged.
Confidential information may include project details, code, business information, or trade secrets.
This clause survives termination of the agreement.

8.Revisions and Scope Creep

A project scope is defined at the start and may be revised with mutual agreement.
Additional features or requests beyond the original scope will be treated as change requests and may incur extra charges and revised timelines.

9.Warranties and Disclaimers

Qilze provides services on an "as-is" and "as-available" basis.
We do not warrant that services will be error-free or uninterrupted.
Any software or solutions delivered come with a 14-day bug-fix warranty period, starting from final delivery. New features are not covered in the warranty.

10.Limitation of Liability

To the fullest extent permitted by law:

Qilze shall not be liable for any indirect, incidental, special, or consequential damages.
Our maximum liability shall not exceed the total amount paid by the client for the specific project.

11.Termination and Cancellation

Either party may terminate a project or service agreement with written notice (email accepted).
On termination:

○ Work completed until the date of termination will be billed and delivered.

○ All ongoing obligations (like payment or confidentiality) shall remain in effect.

12.User Conduct

Clients and users agree not to:

Use our platform for illegal or unethical purposes.
Copy, reverse-engineer, or misuse any of our technology or service processes.
Harass, abuse, or threaten Qilze staff or developers.

13.Third-Party Tools and APIs

Some services may involve integration with third-party platforms (e.g., AWS, Stripe, OpenAI).
Qilze is not liable for any issues caused by changes or downtime of third-party services.

14.Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Kingdom of Morocco.
Disputes shall first be attempted to be resolved amicably. If unresolved, disputes may be submitted to arbitration or small claims court as applicable.

15.Changes to These Terms

Qilze reserves the right to update these Terms at any time. We will notify users via email or site announcements. Continued use of the services constitutes acceptance of any new terms.
